Upon full payment for services rendered, clients receive ownership of the final deliverables as specified in their service agreement. We retain rights to display completed work in our portfolio unless otherwise agreed in writing.

3. Client Responsibilities

Clients are responsible for:

• Providing accurate business information, brand assets, and content in a timely manner
• Reviewing and approving deliverables within agreed review periods
• Ensuring all content submitted to us is lawful and does not infringe third-party rights
• Maintaining appropriate licenses for any third-party software or assets used

4. Payments & Refunds

Payment terms are outlined in individual service agreements. General terms include:

• Project deposits are non-refundable once work has commenced
• Monthly retainer services are billed in advance
• Invoices are due within 15 days of issuance unless otherwise agreed
• Late payments may incur interest at 1.5% per month

Refund requests for services already delivered will be evaluated on a case-by-case basis at our sole discretion.

5. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of our engagement. This obligation survives termination of the service relationship.

6. Limitation of Liability

To the maximum extent permitted by law, Horizon Link Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, or business opportunities, even if advised of the possibility of such damages. Our total liability for any claim arising from our services shall not exceed the amount paid for the specific service giving rise to the claim in the 30 days prior to the event.

7. No Guarantee of Specific Results

While we apply proven strategies and best practices, Horizon Link Digital does not guarantee specific search rankings, traffic numbers, ad performance, or revenue outcomes. Digital marketing results depend on many factors beyond our control, including search engine algorithm changes, market conditions, and client-side implementation.

8. Termination

Either party may terminate ongoing services with 30 days' written notice. You remain responsible for payment of all services delivered up to the termination date. We reserve the right to terminate immediately in cases of non-payment, abusive conduct, or violation of these Terms.

9. Acceptable Use

You agree not to use our website or services to:

• Engage in unlawful, fraudulent, or harmful activities
• Distribute spam, malware, or unsolicited communications
• Infringe on third-party intellectual property rights
• Attempt to gain unauthorized access to our systems

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in New York County, NY.
